In these terms and conditions, the words "platform" refer to the Meet the Muse platform, "we", "us", "our", and "Meet the Muse", refers to Meet the Muse SARLS, and "you", and "user", refers to you, the Meet the Muse user (Models and Clients).
The following terms and conditions apply to your use of the Meet the Muse platform and the services available on the platform. This includes any other version of Meet the Muse accessible through desktop, mobile, tablet, social media or other devices.
BY USING THE PLATFORM, YOU AGREE TO THESE TERMS AND CONDITIONS, OUR PRIVACY POLICY AND ANY POLICY OR LEGAL NOTICES ISSUED BY MEET THE MUSE. PLEASE READ THESE CONDITIONS CAREFULLY BEFORE USING THE SERVICES AND FUNCTIONALITIES AVAILABLE ON THE PLATFORM.
By registering and using the Meet The Muse platform, you agree to be fully bound by the terms and conditions set forth in this agreement. If you do not agree with any of the terms, you must refrain from registering and using the platform or its services. We reserve the right to modify this agreement at any time. Any changes to our terms and conditions will be notified to our users via any electronic means such as email and will be published on our platform. Any modification will take effect at the time of its publication on the platform. By continuing to use Meet The Muse after notification and publication of a modification to our terms and conditions, you expressly agree to be bound by the updated terms and conditions. For this reason, we recommend that you review this agreement periodically to stay informed of any changes.
By registering and using the platform, you represent and warrant that you have full legal capacity, power, and authority to enter into this agreement and to perform your obligations hereunder. Furthermore, you confirm that you are not subject to any legal, contractual, or other restrictions that limit or prevent your ability to accept these terms and conditions. You warrant that you will use the platform in accordance with applicable laws and regulations and that your use will not infringe on the rights of third parties or contravene any applicable regulations.
Your acceptance of this agreement constitutes a binding commitment on your part and on the part of any entity you represent to comply with the terms set forth herein and any additional policies posted on the platform. This commitment includes your obligation to ensure that all information provided during registration and use of the platform is truthful, accurate, and up to date. Meet The Muse shall not be liable for any breach of these terms by users, and any violation of these terms may result in the suspension or termination of your access to the platform.
Access, registration, and use of the Meet The Muse platform are strictly limited to persons who are eighteen (18) years of age or older. By registering, accessing, or using the platform, the user represents and warrants that they are of legal age and have full legal capacity to enter into binding agreements under applicable law.
Registration, access, or use of the platform by persons under the age of eighteen (18) is expressly prohibited, even with the authorization of parents, guardians, or legal representatives. Meet The Muse reserves the right to verify the age of users at any time and to suspend or cancel, immediately and without prior notice, any account for which there are reasonable indications that the user does not meet the minimum age requirement.
By registering and using the Meet The Muse platform, the user agrees that notifications, notices, communications, and other information related to the use of the platform, account management, bookings, transactions, operational changes, updates, security notices, and modifications to these Terms and Conditions may be sent electronically. Such communications may be made, among other means, by email, notifications within the platform, or any other means of contact provided by the user.
Notifications sent by Meet The Muse shall be considered validly made and legally effective from the moment they are made available to the user by any of the means indicated, regardless of whether the user actually receives, accesses, or reads them.
Notwithstanding the foregoing, the user may unsubscribe from newsletters or promotional communications sent by email using the unsubscribe option included in such emails. Likewise, when the functionality is available, the user may manage notification and communication preferences through their user account. Unsubscribing from promotional communications will not affect the sending of operational, administrative, or legal communications necessary for the use of the platform.
To access and use certain features of the Meet The Muse platform, users must register and create a personal account, providing accurate, up-to-date, and complete information. Each user is responsible for the information included in their account and for the use made of it. Meet The Muse reserves the right to verify the information provided and to suspend or cancel accounts that contain false, inaccurate, or misleading data.
Users may delete their account at any time, in accordance with the features available on the platform or by requesting Meet The Muse to do so. Deleting the account will not affect any outstanding obligations, active bookings, payments, commissions, claims, disputes, or liabilities arising from prior use of the platform, nor will it affect the retention of information that must be kept for operational, contractual, or legal reasons.
Each user is responsible for maintaining the confidentiality of their login credentials and for all activities carried out from their account. Meet The Muse shall not be liable for the unauthorized use of an account when such use results from the user's failure to comply with their security obligations.
The platform distinguishes between the following types of users:
Clients are individuals or legal entities who register on the platform in order to search for, contact, and make bookings with models through the intermediary services offered by Meet The Muse. When creating their profile, clients must provide the basic information necessary for the management of their account, making bookings, communications, and corresponding transactions. The client profile is used exclusively to facilitate interaction with models and the proper management of operations carried out through the platform.
Models are users who register on the platform with the aim of offering their services independently through Meet The Muse. When creating their profile, models may provide professional information, descriptions, images, availability, preferences, and any other content necessary for the proper presentation of their services to clients. Models declare and guarantee that the information published is accurate, that they have the necessary rights to the content they share, and that they act at all times as independent professionals, without any employment, partnership, or agency relationship with Meet The Muse.
The Meet The Muse platform allows client users to request and manage bookings for services offered by model users through a digital intermediation system.
By making a booking request, the client acknowledges that the booking constitutes an intention to contract directly with the selected model, without Meet The Muse being a party to the agreement between the two users.
The booking process through the platform generally consists of the following steps:
Bookings are subject to availability and the conditions established by each model. Meet The Muse does not guarantee the availability of models or the acceptance of a booking request.
The specific details of each booking, including date, time, duration, location, or other conditions, are determined exclusively between the client and the model, who are solely responsible for fulfilling the agreement.
In order to record the effective performance of the services, Meet The Muse may make available a QR code check-in and check-out system, which constitutes the only valid proof of the hours actually worked. If this system is not used, only the hours initially planned and confirmed in the booking will be considered. Meet The Muse is not responsible for errors, omissions, technical failures, or misuse of the system by users.
Meet The Muse acts exclusively as a technological facilitator of the booking process and does not supervise, control, or intervene in the performance of the services booked, nor in the conduct of users before, during, or after the booking.
Payments for bookings made through Meet The Muse must be made using the payment systems enabled on the platform. By making a payment, the client authorizes the collection of the amount corresponding to the service booked, as well as the applicable fees for using the platform, which will be disclosed prior to confirmation of the transaction.
Meet The Muse may retain a commission for each booking managed through the platform, and the remaining amount will be transferred to the model in accordance with the terms, conditions, and procedures established by the corresponding payment provider.
Any payment, consideration, financial adjustment, or exchange made outside the platform expressly excludes any liability on the part of Meet The Muse, and the platform is not obliged to intervene, mediate, or respond to disputes, claims, or breaches arising from such external agreements.
Users acknowledge that the records generated through the QR code entry and exit system constitute the main reference for determining the hours actually worked and, consequently, for calculating the corresponding amounts, without prejudice to the conditions initially agreed upon. Meet The Muse shall not be liable for any financial discrepancies arising from the incorrect, incomplete, or non-existent use of said system by users.
Payments, commissions, and transfers are subject to the conditions, policies, and processing times of external payment providers. Meet The Muse does not control or guarantee the immediate availability of funds or the correct execution of financial transactions when such incidents are attributable to third parties.
Hours in excess of those initially specified in a booking will only be considered valid when they have been duly recorded and validated using the check-in and check-out system provided by Meet The Muse. Any additional time not recorded through this system will not generate any obligation for additional payment nor give rise to subsequent adjustments.
In the event that an additional amount is generated for overtime and it is not possible to collect the corresponding payment through the platform, Meet The Muse may, without assuming any obligation of result, attempt to contact the user responsible for the payment in order to facilitate the regularization of the situation.
If, after such attempts, it is not possible to obtain the outstanding payment, Meet The Muse reserves the right to suspend or exclude the account of the responsible user, temporarily or permanently, without prejudice to other measures that may be applicable in accordance with these Terms and Conditions.
Under no circumstances shall Meet The Muse be liable for the total or partial non-payment of amounts derived from overtime, nor shall it act as guarantor of the fulfillment of payment obligations between users, limiting its intervention to the provision of the technical tools available on the platform.
Meet The Muse users acknowledge and agree that they are solely and exclusively responsible for their conduct, the information they provide, the content they publish, and the interactions, agreements, and services that arise from their use of the platform. Meet The Muse acts solely as a technological intermediary and assumes no responsibility for the activities carried out between users.
In particular, and without limitation, users are responsible for:
Meet The Muse does not guarantee that the services offered or contracted through the platform comply with the local regulations applicable to each photo shoot, nor does it assume any responsibility for legal breaches, penalties, claims, damages, or losses arising from such activities.
Users agree to hold harmless Meet The Muse from any claims, damages, losses, penalties, costs, or expenses, including legal fees, arising directly or indirectly from the use of the platform, breach of these Terms and Conditions, or infringement of third-party rights.
Any dispute, claim, or disagreement related to the performance of a service contracted through the Meet The Muse platform, including, but not limited to, absence, delay, cancellation, quality of the photo shoot, behavior of the parties, or any other aspect related to the provision of the service, must be resolved directly between the client and the model, without the intervention of Meet The Muse.
Meet The Muse is not a party to the agreement between the client and the model and assumes no obligation to supervise, mediate, arbitrate, or resolve conflicts arising from such agreement. The platform merely provides technical intermediation tools and does not guarantee the proper performance of the contracted services.
Under no circumstances shall Meet The Muse be liable for direct or indirect damages, financial or operational losses, loss of profits, loss of business opportunities, or damages arising from the cancellation, absence, delay, breach, or actions of a model or client, even if the platform had prior knowledge of the possibility of such damages.
Users acknowledge and agree that any claim arising from the performance of the service must be directed exclusively against the other contracting party, holding Meet The Muse harmless from any claim, cost, or liability that may arise in connection with such disputes.
Users, and in particular model users, may publish content on the Meet The Muse platform, including images, descriptions, texts, and any other material necessary for the proper presentation of their profiles and services. By publishing content, users declare and guarantee that they are the owners of the necessary rights to said content or that they have sufficient authorization for its use, publication, and availability through the platform.
Models may only upload content for which they declare that they hold the intellectual property and image rights, or for which they have the corresponding licenses, consents, or authorizations. Meet The Muse does not systematically verify the ownership of the rights to the published content and assumes no responsibility for claims by third parties arising from the use, publication, or dissemination of such content by users.
By publishing content on the platform, users grant Meet The Muse a non-exclusive, free, and limited license to host, reproduce, display, and make such content available only within the platform and to the extent necessary for its operation, internal promotion, and proper display, without this implying the transfer of rights for its external commercial exploitation or outside the Meet The Muse environment.
Image rights, authorizations, and consents related to photo shoots, meetings, or services performed as a result of bookings managed through the platform are the sole responsibility of the users involved. Meet The Muse does not intervene in the management, obtaining, or verification of such rights and will not be responsible for the misuse of images or content generated during such sessions.
Meet The Muse reserves the right to remove, block, or limit access to any content that, in its sole discretion, violates these Terms and Conditions, third-party rights, or is inappropriate, without this giving rise to any right to compensation for the user.
Meet The Muse provides users with chat and messaging tools to facilitate communication between clients and models in relation to the use of the platform, profile management, and booking coordination. These tools must be used exclusively for legitimate, professional purposes related to the services offered through the platform.
Users acknowledge that they are solely responsible for the content of the messages they send, receive, or share through the messaging system, as well as for the consequences of such communications. Meet The Muse does not actively monitor conversations or guarantee the accuracy, legality, or appropriateness of the messages exchanged.
Notwithstanding the foregoing, it is expressly prohibited to use the chat and messaging system to:
Meet The Muse reserves the right to take appropriate measures, including limiting, suspending, or canceling accounts, when it becomes aware of misuse of the chat and messaging system, without this giving rise to any right to compensation for the affected user.
Users acknowledge that communications made through the platform may be retained for as long as necessary for operational, security, or complaint management purposes, in accordance with the Privacy Policy.
Meet The Muse acts exclusively as a technological intermediary platform that facilitates contact, communication, booking management, and payment processing between client users and model users. Meet The Muse is not a party to the agreements entered into between users, does not provide photographic or professional services, and assumes no obligation to supervise, control, or execute the services contracted through the platform.
Meet The Muse shall not be liable, under any circumstances, for the quality, outcome, suitability, legality, safety, timeliness, or performance of the services offered or provided by users, including photo shoots, meetings, or any other activity resulting from a booking. Any claims related to such services shall be directed exclusively against the relevant user.
To the fullest extent permitted by applicable law, Meet The Muse shall not be liable for any direct or indirect damages, consequential damages, loss of profits, financial or operational losses, loss of business opportunities, reputational damage, or any harm arising from the cancellation, absence, delay, or breach of a user, including models or clients.
Meet The Muse shall not be liable, under any circumstances, for criminal or illegal acts, including, but not limited to, harassment, physical or sexual assault, rape, kidnapping, threats, coercion, violent behavior, or any other illegal conduct committed by a user or a third party, whether inside or outside the platform or in connection with services managed through it.
Users expressly acknowledge that Meet The Muse cannot guarantee their personal safety and that the platform plays no role in monitoring, protecting, safeguarding, or guaranteeing the physical safety of users.
Any photo shoot, meeting, or in-person activity resulting from the use of the platform is carried out under the sole responsibility of the users involved. Meet The Muse shall not be liable for accidents, injuries, property damage, security incidents, or unforeseen events that occur before, during, or after such activities.
Meet The Muse shall not be liable for discrepancies related to payments, hours worked, overtime, misuse or non-use of the QR code check-in and check-out system, or for payments made outside the platform. Users fully assume the risks arising from such situations.
Meet The Muse does not guarantee the continuous or uninterrupted availability of the platform or the absence of errors, technical failures, interruptions, data loss, or incidents arising from computer systems, communication networks, external providers, or causes beyond its reasonable control.
Meet The Muse does not guarantee that the use of the platform or the services contracted through it comply with the local regulations applicable in all jurisdictions. Users are solely responsible for verifying and complying with the applicable legislation in their country or place of service provision.
In the event of a serious incident, Meet The Muse undertakes to cooperate fully with the competent authorities, including law enforcement agencies, judicial authorities, and emergency services, in accordance with applicable law, and to provide any information that is legally required. Such cooperation shall not, under any circumstances, imply any acknowledgment of liability on the part of Meet The Muse.
Users undertake to respect local legislation and to immediately report any emergency situation, crime, or serious risk to the competent authorities. Meet The Muse may provide assistance to the extent possible, without assuming any responsibility or replacing the actions of the authorities.
All rights, titles, and interests related to the Meet The Muse platform, including but not limited to its source code, design, interface, structure, logos, graphics, trade names, trademarks, audiovisual content, interactive elements, databases, texts, sounds, and any other component incorporated into the platform, are the exclusive property of Meet The Muse SARLS or its licensors and are protected by applicable intellectual property and copyright laws. Any reproduction, distribution, modification, adaptation, translation, publication, display, stream, broadcast, or exploitation, in whole or in part, of the contents or elements of Meet The Muse without the prior express written consent of the owner is expressly prohibited. Use of the platform does not grant the user any ownership rights, license, or authorization over the protected rights, except those strictly necessary for the legitimate use of the platform in accordance with these terms and conditions. Any unauthorized use of the protected elements may result in civil or criminal legal action, as appropriate. Meet The Muse reserves all rights not expressly granted in this document.
The following activities are prohibited:
The Meet The Muse platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. Meet The Muse does not guarantee that the platform, its features, content, or services will be available without interruption, secure, free of errors, viruses, or technical failures, or that they will meet the specific expectations, needs, or requirements of users.
Meet The Muse does not guarantee the truthfulness, accuracy, quality, legality, suitability, or reliability of the profiles, content, services, conduct, or commitments made by users, including clients and models. The platform does not guarantee the availability, timeliness, absence, behavior, performance, or results of the services offered or contracted through the platform.
Meet The Muse offers no guarantee regarding the execution of bookings, the outcome of photo shoots, the quality of services provided, or the fulfillment of legal, tax, or contractual obligations by users. Any use of the platform and contracting of services is done at the sole risk of the user.
Furthermore, Meet The Muse does not guarantee that the use of the platform or the services contracted through it complies with the local regulations applicable in each jurisdiction, nor that the platform is suitable or available for use in all territories.
To the fullest extent permitted by applicable law, Meet The Muse excludes any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.
You agree to defend and indemnify Meet The Muse and any of their directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:
Meet The Muse shall not be liable for any total or partial breach of its obligations when such breach is the result of events beyond its reasonable control. By way of example and without limitation, natural disasters, pandemics, power cuts or Internet service outages, cyberattacks, armed conflicts, strikes, administrative decisions, or any other unforeseeable or unavoidable event that prevents or hinders the normal operation of the platform shall be considered cases of force majeure. During the duration of a force majeure event, the affected obligations shall be suspended for as long as the event persists, without this giving rise to any right to compensation in favor of the user.
Meet The Muse reserves the right to modify, update, or replace, in whole or in part, these Terms and Conditions at any time, when it deems necessary for legal, technical, operational, or commercial reasons. Any modification will be notified to users via email and published on the platform, unless applicable legislation requires a different means or procedure.
The modified versions of the Terms and Conditions will be applicable from the moment they are published on the platform. The continued use of the platform by the user after notification and publication of the modifications will imply full and binding acceptance of the updated terms and conditions.
If the user does not agree with the modifications made, they must cease using the platform and, where applicable, delete their account. The modifications will not affect the rights and obligations arising from previously confirmed bookings or relationships, except where necessary to comply with mandatory legal provisions.
Any personal information you submit in connection with your use of the platform as a user will be used in accordance with our privacy policy. See our privacy policy.
This agreement together with the privacy policy and any other legal notices published by Meet The Muse, shall constitute the entire agreement between you and Meet The Muse concerning and governs your use of the platform.
Both the user and Meet The Muse acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.
In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, Meet The Muse reserves the right to unilaterally terminate the user's access to and use of the platform. Meet The Muse may take this action without prior notice, and the User will automatically lose all rights to access and use the platform. Furthermore, Meet The Muse shall not be liable for any loss of data or information associated with the user's account.
In case of non-compliance by Meet The Muse: If Meet The Muse fails to comply with its obligations under the agreed terms and conditions, the User shall be entitled to terminate the agreement and stop using the platform. The user shall notify Meet The Muse in writing of the breach and allow a reasonable time for Meet The Muse to remedy the situation. If Meet The Muse does not remedy the breach within the set period, the user may proceed with the termination of the agreement.
Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.
Continued use of the platform after termination of the agreement by either party shall imply acceptance of the conditions set forth in the terms and conditions in effect at that time.
Any dispute, controversy, or claim arising between the user and Meet The Muse in connection with the interpretation, performance, validity, or use of the platform or these Terms and Conditions shall be resolved, first, through amicable negotiation in good faith between the parties. The user agrees to contact Meet The Muse in advance and to allow a reasonable period of time to attempt to reach an amicable solution before initiating any formal action.
If the dispute cannot be resolved amicably within a reasonable period of time from the start of negotiations, the dispute shall be submitted to arbitration in accordance with the rules and procedures of arbitration applicable in the Grand Duchy of Luxembourg. The place of arbitration shall be Luxembourg, unless the parties expressly agree on another location.
Unless otherwise provided by applicable mandatory law, the arbitral award shall be final and binding on the parties, who waive, to the extent permitted by law, any other venue or jurisdiction that may correspond to them.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without prejudice to the application of mandatory provisions that may be applicable under the laws of the user's country of residence.
Unless otherwise provided by mandatory legal provisions, any dispute, controversy, or claim arising from the interpretation, execution, or validity of these Terms and Conditions, as well as from the use of the Meet The Muse platform, shall be subject to the exclusive jurisdiction of the competent courts of Luxembourg.
The Meet The Muse platform is available to users located in European Union countries, the Schengen area, Japan, and South Korea. In view of its international nature, Meet The Muse undertakes to comply with the laws and regulations applicable in the jurisdictions where the platform is available and to adapt, as far as possible, its documents, procedures, and functionalities when required by local legal provisions.
However, users acknowledge that, given the cross-border nature of the platform and the constantly evolving regulatory frameworks, Meet The Muse assumes an obligation of means and not of results with regard to regulatory compliance in the various jurisdictions. Meet The Muse will also cooperate with the competent authorities when required to do so by applicable law.
Use of our platform is conditional upon acceptance of and compliance with all terms and conditions set forth herein. This authorization to use our services does not extend to jurisdictions where these provisions are not respected or enforced.
Our commitment to compliance with these terms is strictly governed by applicable laws and legal processes. It is important to note that these terms do not restrict our ability to comply with legal or governmental requirements, including, but not limited to, those related to law enforcement and the use of our platform. Information provided or collected in connection with your use of the platform will be subject to these requirements.
In the event that any provision of these terms and conditions is declared invalid, illegal, or unenforceable by any court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions. Failure or delay on our part to enforce any of these terms and conditions at any time shall not constitute a waiver of our rights to enforce such provision, or any other provision, in the future.
We reserve all rights not expressly granted herein, maintaining at all times the protection and respect of our intellectual property rights and prerogatives.
