1. Introduction and Acceptance

Welcome to Meet the Muse ("we," "us," "our," or "the Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Meet the Muse platform, which connects clients with models for photoshoots and related services.

By registering for an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Definitions

  • "Platform": The Meet the Muse website, mobile application, and all related services
  • "Client": An individual or company seeking to book models for photoshoots or related services
  • "Model": An individual offering modeling services through the Platform
  • "User": Any person using the Platform, whether as a Client or Model
  • "Booking": A confirmed reservation for modeling services between a Client and Model
  • "Shoot": The scheduled modeling session or photoshoot

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use Meet the Muse, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

3.2 Account Registration

All Users Must:

  • Complete the registration process
  • Submit accurate, current, and complete information
  • Meet specific criteria established by the Platform
  • Undergo an approval process (accounts are reviewed and may be approved or rejected)

Models Must Additionally:

  • Verify their identity
  • Provide accurate physical characteristics and measurements
  • Upload genuine portfolio photographs
  • Set hourly rates by country
  • Provide valid payment account information

Clients Must Additionally:

  • Provide valid identification (individual or company)
  • Register a valid credit card for bookings
  • Provide accurate business information if registering as a company

3.3 Account Approval

  • All accounts are subject to approval by Meet the Muse
  • The approval process typically takes few working days
  • We reserve the right to reject any application without providing reasons
  • Approval may be revoked at any time for violations of these Terms

3.4 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Platform Role and Limitations

4.1 Our Role

Meet the Muse operates as a connection platform only. We:

  • Facilitate connections between Clients and Models
  • Provide tools to simplify transactions and communications
  • Process payments through Stripe
  • Offer check-in/check-out systems for time tracking

4.2 What We Are NOT

We are NOT:

  • A mediator or arbitrator of disputes
  • An employer or agency for Models
  • A contracting party in bookings between Clients and Models
  • Responsible for the conduct, actions, or behavior of Users
  • Liable for any harm to the relationship between Clients and Models

4.3 Limitation of Liability

Meet the Muse is NOT responsible for:

  • False, incorrect, or misleading information provided by Users
  • Actions of Clients or Models that harm their relationship
  • No-shows, cancellations, or schedule changes
  • Quality of services provided or received
  • Disputes arising from shoots
  • Incidents, accidents, injuries, or damages occurring during shoots
  • Payment account errors made by Models
  • Agreements or communications made outside the Platform
  • Any damages, losses, or injuries resulting from use of the Platform

5. Booking Process

5.1 Creating a Booking Request

Clients must:

  • Select one or more Models
  • Specify shoot criteria and requirements
  • Define shoot type (standard, couple, extra services)
  • Review the booking summary including all selections and final price (including our commission)
  • Have a valid credit card registered with Stripe

5.2 Special Shoot Types

Couple Shoots:

  • An alert message reminds Clients to respect Models
  • Clients must not force Models to participate

Extra Nudity Option:

  • Available with full respect of Model's boundaries
  • Models define and specify what they will and will not do
  • Models have absolute right to accept or decline
  • Client consent to Model's terms is required

5.3 Booking Timeline

24-Hour Response Period:

  • Models have 24 hours to respond to booking requests
  • Automatic cancellation if no response within 24 hours

48-Hour Communication Window:

  • After Model acceptance, both parties have 48 hours to communicate
  • Parties confirm details, preferences, and requirements
  • No consequences for cancellations during this 48-hour window

Payment Processing:

  • After 48-hour window, first payment attempt is made
  • If first attempt fails, second attempt with email notification
  • If both attempts fail, booking is automatically cancelled
  • Once payment succeeds, booking is confirmed

5.4 Date Changes

  • Clients may request date changes after booking confirmation
  • Date changes require Model approval
  • Standard cancellation policies apply if date change is declined

6. Payment Terms

6.1 Payment Processing

  • All payments processed through Stripe
  • Clients must have a valid payment method registered
  • Payment includes Model's rate plus Meet the Muse commission
  • We do not store credit card information directly

6.2 Pricing

  • Model rates are set by individual Models per country
  • Final price shown in booking summary includes our commission
  • Prices displayed are in the applicable currency for the country
  • Additional hours calculated and billed separately (see Section 7)

6.3 Model Payments

  • Models receive payment after successful shoot completion
  • Models choose their preferred payment account
  • Models are responsible for providing correct payment account information
  • We are not responsible for payment delays or errors due to incorrect information provided by Models

7. Cancellation and Refund Policy

7.1 During 48-Hour Communication Window

  • Either party may cancel without consequences
  • No fees charged
  • No penalties applied

7.2 After Payment Confirmation

Client Cancellation:

  • Client receives refund minus Stripe fees and Meet the Muse commission
  • Refund processed within few working days

Model Cancellation:

  • Client receives full refund minus Stripe fees only
  • Model receives a warning
  • Repeated cancellations may result in account suspension or ban
  • Exception: Models with proof of exceptional circumstances receive no penalty

7.3 Day-of-Shoot Scenarios

Client No-Show:

  • Model receives full payment as scheduled
  • Meet the Muse is not responsible for Client absence
  • No refund issued to Client

Model No-Show (without check-in):

  • Client receives full refund minus Stripe fees
  • Model receives warning or potential ban
  • Exception: Proof of exceptional circumstances results in no penalty

Model Present (with check-in), Client claims Model absent:

  • Check-in serves as proof of Model's presence
  • No refund issued to Client
  • Payment proceeds to Model as scheduled

8. Check-In/Check-Out System

8.1 QR Code System

  • Both Client and Model receive unique QR codes
  • Check-in required at shoot start
  • Check-out required at shoot end
  • System calculates actual hours worked

8.2 Additional Hours Calculation

Rules:

  • Additional hours calculated in full-hour increments only
  • Both check-in AND check-out required for additional hour billing
  • Check-in without check-out = no additional hours charged
  • Actual time less than booked time = base price only (no reduction)
  • Actual time more than booked time = additional full hours charged at Model's hourly rate

8.3 Time Tracking Requirements

  • Users are responsible for completing both check-in and check-out
  • Incomplete check-ins/check-outs result in base booking price only
  • No disputes accepted for missing check-in/check-out data

9. User Conduct and Obligations

9.1 General Obligations for All Users

You MUST:

  • Provide accurate, truthful, and complete information
  • Maintain updated profile information
  • Respect other Users and Platform rules
  • Conduct all transactions through the Platform
  • Respond to communications in a timely manner
  • Comply with all applicable laws

You MUST NOT:

  • Provide false, misleading, or deceptive information
  • Attempt to conduct transactions outside the Platform
  • Harass, threaten, or harm other Users
  • Violate any User's rights or dignity
  • Use the Platform for illegal purposes
  • Attempt to circumvent Platform fees or processes

9.2 Client Obligations

Clients MUST:

  • Provide accurate shoot requirements and specifications
  • Respect Models and their boundaries at all times
  • Honor agreed-upon terms and conditions
  • Be present for scheduled shoots
  • Not force Models to perform services they have declined
  • Respect Models' limitations on nudity or specific services
  • Provide truthful company information if registering as a business

Clients MUST NOT:

  • Engage in behavior intended to trap or deceive Models
  • Impose services or activities that Models refuse
  • Provide false booking information
  • Misrepresent their identity or business

9.3 Model Obligations

Models MUST:

  • Be the person represented in their profile
  • Provide accurate physical characteristics and measurements
  • Upload genuine, recent portfolio photographs
  • Honor accepted bookings
  • Arrive on time for confirmed shoots
  • Provide correct payment account information
  • Update availability and rates as needed

Models MUST NOT:

  • Misrepresent their appearance or capabilities
  • Accept bookings they cannot fulfill
  • Provide false information about their identity or characteristics

10. Warnings and Account Termination

10.1 Warning System

Users receive warnings for:

  • Attempting to conduct transactions outside the Platform
  • Cancelling bookings after payment (Models)
  • Repeated no-shows
  • Violations of User conduct obligations
  • Minor breaches of these Terms

10.2 Immediate Account Termination

We may immediately suspend or permanently ban accounts for:

  • Providing false or misleading information (voluntary or involuntary)
  • Serious violations of User conduct rules
  • Harassment, assault, or threatening behavior
  • Fraudulent activity
  • Repeated violations after warnings
  • Behavior harmful to the Platform or other Users
  • Trapping or deceiving other Users

10.3 Our Rights

We reserve the right to:

  • Suspend or terminate accounts at any time
  • Refuse service to anyone
  • Remove content that violates these Terms
  • Investigate suspected violations
  • Cooperate with law enforcement

11. Disputes Between Users

11.1 Post-Shoot Feedback

After each shoot:

  • Both Client and Model receive email feedback requests
  • Reports of problems are reviewed according to these Terms
  • Standard policies apply to all reported issues

11.2 Dispute Resolution

For disputes between Users:

  • Meet the Muse does not mediate or arbitrate
  • Users are encouraged to resolve issues directly
  • Platform policies (refunds, warnings, bans) apply as specified in these Terms
  • Users may pursue legal remedies independently

11.3 Evidence Considerations

  • Check-in/check-out data serves as primary evidence
  • User communications through the Platform may be reviewed
  • Photo or video evidence may be considered
  • Burden of proof lies with the claiming party

12. Information Disclosure and Legal Compliance

12.1 When Information May Be Disclosed

In cases of:

  • Assault, harassment, or violence
  • Fraud or criminal activity
  • Court orders or legal requirements
  • Law enforcement requests with proper legal basis

12.2 Conditions for Disclosure

Client information to Models or authorities:

  • Only in accordance with applicable laws of the relevant country
  • Proper legal procedures required (subpoenas, court orders, lawful requests)
  • No automatic disclosure without legal basis

Model information to Clients or authorities:

  • Same conditions as above
  • Only when legally required and permitted
  • In compliance with local regulations

12.3 Our Policy

  • We comply with all lawful requests for information
  • We do not disclose information without legal basis
  • We follow the laws and regulations of relevant jurisdictions
  • We notify Users when legally permitted

13. Intellectual Property

13.1 Platform Content

All Platform content, features, and functionality are owned by Meet the Muse and protected by copyright, trademark, and other intellectual property laws.

13.2 User Content

Models retain ownership of:

  • Portfolio photographs
  • Profile content
  • Personal information

By uploading content, Models grant Meet the Muse:

  • Non-exclusive license to display content on the Platform
  • Right to use content for Platform promotion
  • Right to display content to potential Clients

Clients and Models agree that:

  • Shoot results and photographs are governed by agreements between them
  • Meet the Muse has no ownership or rights to shoot results
  • Copyright and usage rights are determined between Client and Model

14. Third-Party Services

14.1 Stripe Payment Processing

  • Payment processing provided by Stripe, Inc.
  • Stripe's Terms of Service apply to all transactions
  • We are not responsible for Stripe service interruptions or errors
  • Payment data security is managed by Stripe

14.2 Other Third-Party Services

  • Platform may integrate additional third-party services
  • Third-party terms and privacy policies apply
  • We are not responsible for third-party services or content

15. Indemnification

You agree to indemnify, defend, and hold harmless Meet the Muse, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another User
  • Your conduct during shoots or interactions with other Users
  • Any false or misleading information you provide
  • Any content you upload or share

16. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Accuracy, reliability, or availability of the Platform
  • That the Platform will be uninterrupted, secure, or error-free
  • The quality, safety, or legality of shoots or User interactions

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEET THE MUSE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury, property damage, or emotional distress
  • Actions or omissions of Users
  • Quality or outcome of shoots
  • Disputes between Users

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Modifications to Terms

18.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes become effective:

  • Upon posting to the Platform for minor changes
  • After notice period for material changes

18.2 Notice of Changes

We will notify Users of material changes by:

  • Email notification
  • Platform announcement
  • Updated "Last Updated" date

18.3 Continued Use

Continued use of the Platform after changes constitutes acceptance of modified Terms. If you do not agree to changes, you must discontinue use and close your account.

19. Governing Law and Jurisdiction

19.1 Governing Law

These Terms are governed by the laws of Luxembourg, without regard to conflict of law principles.

19.2 Dispute Resolution

Any disputes arising from these Terms or use of the Platform shall be resolved through:

  • Good faith negotiation
  • Mediation (if negotiation fails)
  • Binding arbitration or courts of Luxembourg

19.3 Exceptions

Nothing in this section limits:

  • Our right to seek injunctive relief
  • Your right to report criminal matters to authorities
  • Statutory rights that cannot be waived

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meet the Muse.

20.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

20.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

20.4 Assignment

You may not assign these Terms. We may assign our rights and obligations without restriction.

20.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

20.6 Language

In case of conflict between translations, the English version prevails.

22. Acknowledgment

By creating an account and using Meet the Muse, you acknowledge that:

  • You have read and understood these Terms and Conditions
  • You have read and understood our Privacy Policy
  • You agree to be bound by these Terms
  • You are legally able to enter into this agreement
  • You understand Meet the Muse's limited role as a connection platform
  • You accept full responsibility for your interactions with other Users
